劳动部于105年2月4日预告劳动基準法施行细则之修正案(「本修正案」),本修正案係针对日前劳动基準法增订第9条之1关于竞业禁止约定之细节性规範,修正重点如下:
(1)竞业禁止约定应以书面为之。
(2)竞业禁止之期间最长不得逾两年。
(3)竞业禁止之区域以原事业单位具体营业活动之区域範围为限。
(4)竞业禁止之执业活动範围及就业对象应具体明确,并以与原事业单位相同或类似且有竞争关係者为限。
(5)竞业禁止约定之补偿是否合理,应综合考量下列因素:
a.每月补偿金额是否不低于离职时月平均工资50%。
b.补偿金额是否足以维持竞业禁止期间之生活所需。
c.补偿金额与劳工因不从事竞业行为所受损失相当。

(1)Thenon-competeagreementshallbemadeinwriting.
(2)Thenon-competeperiodshallnotexceedtwo(2)yearsatmaximum.
(3)Thenon-competeareashallbelimitedtotheareaofconcretebusinessactivitiesoftheoriginalbusinessunit.
(4)Thescopeofoccupationalactivitiesagreedtointhenon-competemustbeconcreteandexplicit.Itshallbelimitedtocompetingunitsidenticaltoorsimilartotheoriginalbusinessunit.
(5)Whetherthenon-competeagreementisreasonableornotshallcomprehensivelyconsiderthefactorsbelow:
a.Whetherthemonthlycompensationamountisnotlowerthan50%ofthemonthlyaveragewagewhenleaving.
b.Whethercompensationissufficientformaintaininglivingstandardsduringthenon-competeperiod.
c.Whethercompensationisequivalenttotheemployee’slossduetonon-competition.
